Terms of Service

1. Agreement to Terms

By accessing or using DTCskills.com ("the Site"), creating an account, or purchasing any product or service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site.

These Terms constitute a legally binding agreement between you and DTCskills.com ("we," "us," or "our").

2. Definitions

  • Skill - A digital product sold on the marketplace, typically consisting of markdown files, templates, configuration files, and documentation designed for use with AI coding tools.
  • Commerce Intelligence System (CIS) - The flagship 54-file Brand Brain framework sold on the marketplace.
  • Brand - A single business entity, product line, or Shopify store for which a Skill or CIS is licensed.
  • Managed Services - Professional done-for-you engagements where we build or install a CIS on your behalf.
  • Creator - A third-party individual or entity that publishes Skills on the marketplace (currently invite-only).

3. Account Terms

  • You must be at least 18 years old to use this Site or make purchases.
  • You are responsible for maintaining the security of your account and password.
  • You are responsible for all activity that occurs under your account.
  • You may not use another person's account without permission.
  • You must provide accurate and complete information when creating an account.

4. Purchases & Licensing

Digital Products

All Skills sold on the marketplace are digital products delivered instantly upon purchase. Due to the nature of instant digital delivery, all sales are final. No refunds will be issued after delivery.

Per-Brand License

Each Skill purchase grants you a license to use that Skill for one brand. A brand is defined as a single business entity, product line, or Shopify store. If you operate multiple brands, you must purchase a separate license for each brand.

Team Usage

Within a single brand, there is no limit on the number of team members who may use the purchased Skill. You may share the files internally with your team for that brand.

Restrictions

  • You may not resell, redistribute, or publicly share Skill files.
  • You may not use a single Skill purchase across multiple brands.
  • You may not claim authorship of the Skill framework or templates.
  • You may not include Skill files in products you sell to others.

5. Managed Services

Managed services (done-for-you CIS installations) are governed by separate engagement agreements provided at the time of engagement. These Terms apply in addition to any engagement-specific agreement.

If you have purchased the DTC Stack self-serve, your $199 purchase applies as a credit toward any managed services engagement.

Managed services pricing, scope, and timelines are determined on a per-engagement basis and are not guaranteed by any pricing listed on the Site.

6. Creator Marketplace

The creator marketplace is currently invite-only and operates on a waitlist basis. Full creator terms - including revenue sharing, content guidelines, and publishing requirements - will be provided to accepted creators before they publish any Skills.

Joining the creator waitlist does not guarantee acceptance or create any obligation on our part.

7. Intellectual Property

We own all Skill frameworks, templates, file structures, documentation, and instructional content. Purchasing a Skill grants you a license to use it, not ownership of the underlying intellectual property.

You own all content you create by filling out or customizing Skill templates. Your brand voice, positioning, product information, and other business-specific content you add to the framework belongs to you.

The DTCskills.com name, logo, and branding are our trademarks and may not be used without written permission.

8. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or attempt to extract the underlying methodology of any Skill for the purpose of creating a competing product.
  • Use automated tools to scrape, crawl, or extract content from the Site.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Use the Site for any unlawful purpose or in violation of any applicable laws.
  • Interfere with or disrupt the integrity or performance of the Site.

9. Disclaimer & Limitation of Liability

Skills and other products are provided "as is" without warranties of any kind, express or implied. We do not guarantee any specific business results, revenue increases, or outcomes from using our products.

Skills are frameworks and tools. Results depend on the quality of information you provide, how you implement the output, and factors outside our control including market conditions, product quality, and execution.

To the maximum extent permitted by law, our total liability for any claim arising from or related to these Terms or your use of the Site is limited to the amount you paid for the specific product or service giving rise to the claim.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms. Upon termination, your right to access the Site and any purchased Skills through the Site will cease. You will retain any Skill files already downloaded to your local environment.

11. Changes to These Terms

We may update these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
